Terms of Service

These Terms govern your access to and use of Raven (the "Service"), provided by Raven Labs ("we", "us"). By signing in to the Service or otherwise using it, you agree to these Terms. If you don't agree, don't use the Service.

3. Your data

You retain all rights to the data you connect to Raven, including the contents of your Zoho organisations. We process that data on your instruction to operate the Service. You're responsible for ensuring you have the right to connect any third-party data (Zoho Books, bank statements, etc.) and to share it with us.

You can revoke our access to your Zoho org at any time from the Raven dashboard. Delete your Raven account from Settings; full account deletion removes you from every organisation and signs you out everywhere.

1. The Service

Raven is a financial-close and audit tool for businesses running their books on Zoho Books. The Service reads accounting data from your Zoho organisations through OAuth, applies audit rules and reporting logic, and surfaces the results in a dashboard. We add features over time; we may change or remove non-core features without prior notice.

2. Eligibility & accounts

You must be at least 18 and legally able to enter contracts in your jurisdiction. You're responsible for keeping your sign-in email secure — anyone who can read OTP codes for that email can access your Raven account. If your role within an organisation ends, ask an admin of that organisation to remove your membership; we recommend revoking access promptly when employees or contractors leave.

4. Acceptable use

You agree not to:

  • Use Raven for any unlawful purpose or to commit fraud.
  • Reverse-engineer the Service or attempt to extract its source code.
  • Use Raven to process personal data of individuals other than your colleagues and counterparties in the ordinary course of business.
  • Probe, scan, or test the vulnerability of the Service without our written permission.
  • Resell or sublicense access to the Service.

5. Fees

Pricing for the Service is communicated separately. Where a paid plan applies, fees are due as agreed in your order or contract. We may change pricing on prospective subscriptions with at least 30 days' notice; existing prepaid terms run to their end.

7. Intellectual property

Raven and its components — software, design, documentation, audit logic — remain our property. Your use of the Service grants you a non-exclusive, non-transferable licence to use it for the duration of your subscription, nothing more.

8. Disclaimers

Raven's audit findings and report figures are tools to help you reach your own conclusions; they're not financial, legal, or tax advice. You and your professional advisers are responsible for any decision based on outputs from the Service. The Service is provided "as is" and to the maximum extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service in any twelve-month period is limited to the fees you paid us in that period (or, for free use, INR 10,000). We're not liable for indirect, consequential, or punitive damages, including lost profits or data — even if we knew such damages were possible.

10. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, with notice where practical. On termination, your right to use the Service ends; the sections that should reasonably survive (confidentiality, IP, disclaimers, limitation of liability, governing law) do survive.

11. Changes to these terms

We may update these Terms as the product changes. We'll post the new version here with an updated "Last updated" date and, for material changes, notify you in-app or by email. Continued use of the Service after a change means you accept the new Terms.

12. Governing law

These Terms are governed by the laws of India. Any dispute will be resolved by the courts of Bengaluru, Karnataka, unless we agree otherwise in writing.

6. Confidentiality

We treat your data and any information about your business as confidential. We won't disclose it except (a) to sub-processors strictly necessary to run the Service (see our Privacy Policy), (b) where required by law, or (c) with your express permission.
